Terms of Service

These terms govern your use of Heedly, a subscription service that monitors the availability and health of websites. By creating an account you agree to them.

1. Who provides the service

2. Your account

  • You must provide a working email address and keep your credentials confidential.
  • You are responsible for activity under your account, including that of team members you invite.
  • We strongly recommend turning on two-factor authentication. Administrators cannot turn it off.
  • You must be able to enter into a binding agreement, and you must be at least 16 years old.

3. Sites you may add

You may add only websites, feeds and servers that you own or are authorised to monitor. Before the crawler, feeds or server checks run, you must prove control of the site (DNS TXT record, meta tag or file). A trial check or a page speed check of a home page (one visit to the page and up to 20 of the files it links to) is allowed before that.

If you add sites on behalf of clients, you confirm that you have their written authorisation and, where personal data is involved, you will conclude the data processing agreement with us.

4. Prohibited use

The Acceptable Use Policy forms part of these terms. In particular you must not use Heedly for denial-of-service or load testing, to scan for vulnerabilities, to guess hidden addresses, to bypass limits, or to monitor sites without authorisation.

You also must not do any of the following:

  • Having an AI assistant or script create accounts for people who did not ask for them, create more than one account per person, or try to obtain paid features without paying.
  • Publishing misleading, deceptive, phishing, adult or unlawful content on a public status page, or imitating another organisation; addresses that look like banks, logins or other brands are refused and pages can be disabled.
  • Pointing webhooks at hosts that are not yours, or using them to attack or load third parties.

5. Plans, billing and add-ons

  • Prices are in US dollars. Yearly billing gives a 20% discount compared with monthly billing.
  • Paid plans start when billing launches. Until then the Free plan is available.
  • Add-ons (extra sites, feeds or servers) are one-off purchases that remain on your account after a subscription ends, for as long as your account exists and the service is offered.
  • When a subscription ends, the account falls back to the Free limits plus add-ons. Sites above the limit are paused; data is not deleted.
  • The payment provider will be named here before billing launches.
  • Subscriptions renew automatically at the end of each monthly or yearly period at the price shown at checkout until you cancel. You can cancel at any time in Billing and keep access until the end of the paid period. We tell you about a price change at least 14 days before it applies to your next renewal, and you may cancel before then.
  • Taxes, where they apply, are added and collected by the payment provider.

5b. Accounts created by AI assistants

An AI assistant may register your email address only at your request. The account stays inactive until you open the link in the email we send, choose a password and accept these terms; an account that is not activated is deleted after 7 days. The assistant never receives your password.

6. Service quality

The service is provided “as is” and on a best-effort basis, without a service-level agreement. Checks can produce false alarms and can miss problems. Do not rely on Heedly as the only safeguard for safety-critical or legally required monitoring. This does not affect your statutory rights as a consumer.

7. Suspension and termination

We may suspend an account and stop its checks if we receive a credible complaint, suspect misuse, or if these terms are breached. We will tell you the reason by email unless the law forbids it. If the suspension is not caused by your breach, we refund the unused part of any prepaid period, and you can appeal by writing to support@heedly.live. You may delete your account at any time.

8. Intellectual property

Heedly and its software remain ours. You keep rights to your own content and data. You grant us the right to process your data only as needed to provide the service.

9. Limitation of liability

To the extent permitted by law, our total liability for any claim relating to the service is limited to the amounts you paid us in the last 12 months; for Free accounts it is limited to [to be set by counsel]. We are not liable for indirect or consequential losses such as lost revenue caused by an undetected outage. Nothing in these terms limits liability that cannot be limited by law, including liability for intent, gross negligence, death or personal injury.

10. Changes to these terms

We may change these terms. For material changes we will give at least 14 days’ notice by email or in the dashboard. If you do not agree, you may cancel before the change takes effect and, for a prepaid yearly plan, we refund the unused part.
